DEFINITIONS:
In this Agreement:
• “Client” "you" and "your" refer to you, our customer and "we", "us", "our" and “FWDS” refer to
Flintshire Website Design Services of Millview Cottage, 66 Main Street, Upton, NEWARK. NG23 5TE.
• 'Domain' is the website address as specified by the Client.
• 'Hosting' is a yearly cost to keep a client’s website activated online.
• 'Content' is both text and images that the Client requires on the website.
• 'Live' means the date the website is viewable on the internet.
The agreement between Flintshire Website Design Services and you will be subject to the following Terms and Conditions below, which may be updated by us from time to time without notice to you.
Method of communication: You agree that email is our method of communication and confirm it is your responsibility to inform us of any change in your email address. You further agree that we can not be held liable in any way if we are not kept supplied a valid email address. We aim to acknowledge all emails within 3 working days.
Contract Agreement: After agreeing with you (either by phone or email) the work we will provide to you and the price you will pay to us, we will email you with a breakdown of our agreement detailing the work to be done and the price to be paid. We then require from you an email confirming your acceptance to our price, our payment terms and these Terms and Conditions and a cheque for £225 made out to J. Thursfield sent to Millview Cottage, 66 Main Street, Upton, NEWARK. NG23 5TE. On receipt of your email and your cheque our contract with you will come into effect and work will begin on your website.
Contract cancellation: The Distance Selling Regulations gives you the right to cancel your order and obtain a full refund for payments made, provided that we have not started to provide any part of your Service to you. To cancel this Agreement, send an email to design@fwds.co.uk before the expiry of seven working days beginning with the day following the day on which you place your order for the Service. Where such refunds are due, we will refund your money as soon as possible and in any case within a period not exceeding 30 days beginning with the day on which you give notice of cancellation
Work content: Unless otherwise agreed in writing, for £495 we will organise and provide for you:

Website Content Management Training Course: Not included in with our price but also available is our Website Content Management Training Course. For clients wishing to take advantage of this service, our web designers will come to your office and provide personal tuition, teaching and training you on how best to manage your site. The course will cover:
How to add and delete text on your site, how to add and delete pages, how to upload pictures and files and organize these files so they can easily be found as your site grows, how to set up links from within your site, either to pages within your site, to other websites, or for people to download files from your site.
As the length of this course is totally dependent on how much time you want us to spend with you (and also the distance we have to travel), quotations are available on request.
Loss of Service: From time to time, access to your web site may be interrupted for brief periods whilst server maintenance or upgrade work is carried out. Where and when such interruptions occur you will not be entitled to any compensation or refund of payments for unavailability to the service.
Liability: We shall not be liable to you nor to any third party for any direct or indirect loss of profit, anticipated profit, savings or anticipated savings, contracts, revenue, time, goodwill or loss of or harm to data or other content or for any other indirect or consequential loss resulting from our failure to provide the agreed service. Any liability we may have to the you our client in contract, tort, or otherwise in connection with the supply or non-supply of the services agreed, shall be limited in each calendar year, to damages equal to the charges paid by the you to us in that calendar year.
Copyright: All text and images used on your website are to be supplied by you and in doing so, you confirm you have the necessary copyright to use such content on your website. Where action results from the use of content supplied by you on your website, you agree to indemnify Flintshire Website Design Services against such action.
Domain name availability: Whilst we will use all reasonable means to establish your chosen domain name is still available, as it is possible a concurrent acquisition of your chosen domain name is also being pursued by a third party, Flintshire Website Design Services cannot not guarantee being able to acquire your chosen domain name. Confirmation the successful registration of your domain name has been completed will only be given once we get a confirmation email from the registrars. We will not be held liable for any failure to register or renew any domain name as requested by the client or for any delay in so doing which results in the loss of the domain name.
Domain name registration: Domain names will be registered by Flintshire Website Design Services and also registered at our current address. Although the domain names are registered to Flintshire Website Design Services, you are the legal owner of the domain and if you request to have details changed or the domain transferred elsewhere, we will do this within a reasonable timeframe.
What is included in your agreement: Purchase of your chosen domain name and registration of such domain for two years. Organisation of up to five pop3 capable email address for one year, (pop3 = emails that can be accessed automatically using Outlook or Outlook Express, rather than having to keep going online and logging-on to the email server). Design of website to client requirements, including but not limited to: Page Master layout & design (Page Master being the part of the page common to all WebPages, usually containing client logo and details), Webpage colours, font style and colours, menu choice (vertical list? horizontal roll out? etc.), page size, page width. Expansion capability, allowing you to add further pages as required. Uploading of client logo, pictures and all text as supplied by you to your specifications. Telephone website support for one year. Additional design of five further WebPages at client request within your first year (thereafter charged in accordance with "Scale of Charges" below. Search Engine submission of website to Google and other major search engines. Creating of website and webpage meta-tags (information used by search engines to find your site).
Scale of Charges – Page Alterations (within your first year): Minor changes to a page (minor copy / paste text changes, minor layout changes etc.) where such changes can be completed in less than five minutes: No charge.
More time consuming changes to a page requiring more than five minutes work: £10.00 for up to fifteen minutes work, £15 for up to thirty minutes or £25 for up to an hour's work. After one hour, £25 per hour or part thereof will then apply.
Scale of Charges – Page Alterations (after your first year): £10.00 for up to fifteen minutes work, £20 for up to thirty minutes or £30 for up to an hour's work. After the first hour, £25 per hour or part thereof will then apply.
Payment terms – Initial Work: You will agree to pay us a part payment of £225 up front to secure our services, at which point we will commence work on your website. On completion of your domain name registration and home page, you agree to pay us a further £100, with the remainder falling due 21 days later or on completion of your website, whichever comes first.
Payment terms – clauses 14 & 15: From your instructions, we will email you a breakdown of the work requested and anticipated time for completion and anticipated costs. We will require a confirmation email from you for the work to proceed as stated and agreeing to our projected costs before work will commence. On completion of our work to your satisfaction, we will invoice you, payment due within fourteen days from invoice date.
What is not included in your agreement: Additional page design beyond ten pages for your first year (further pages can be ordered at £50 per page where text and photos have been supplied. For pages involving substantial work to complete, higher charges may apply. In such cases, we will inform you and a price will need to be agreed between you and us and confirmation email received before work commences). On site help, support and training as required. (Each visit at £30 per hour for the first hour and thereafter at £25 per hour for the duration of the visit plus mileage at 30 pence per mile door to door). Annual & bi-annual costs.
Annual costs: Hosting. (£36.99 annually) Your website hosting costs will be covered in your first year, thereafter payable at £36.99 annually; payment invoiced fourteen days before renewal. Two weeks before renewal, we will invoice you for the following year’s hosting costs, payment to be completed within fourteen days. In the case of late payments, clause 19 will apply.
Bi-annual costs: Domain Name Renewal: (£14.99 for two years) Two weeks before your domain name comes up for renewal, we will invoice you for the following year’s hosting costs, payment to be completed within fourteen days. In the case of late payments, clause 19 will apply.
Late Payments: Where an invoice is outstanding more than 14 days, we will email you for prompt payment. If after a further seven days your invoice still remains outstanding, we will email you with an ‘Interruption of Service’ warning. Should your payment still not be received seven days after this second email, your entire site will be blocked and a ‘Technical Difficulties’ page put up in its place. There will then be a £25 administration charge to have this removed. Only once the full payment for all outstanding invoices and the late payment charge have been received will your website will be reinstated.
Cheques: Cheques to be made out to J. Thursfield sent to Millview Cottage, 66 Main Street, Upton, NEWARK. NG23 5TE.
Username and passwords: The username and password for your website will only be given to you once full payment for your website and has been received.
Technical: Web sites will be designed so that they are suitable for display at the most popular screen resolutions, 800 by 600 and 1024 by 768 (or equivalent) in Internet Explorer web browsers (versions 6 and above). For low resolutions (640 by 480), the full width of the page will not be visible without the user moving the image. In higher resolutions the view will be located centrally in the browser window.
We will first purchase and register (in your name) your site's domain name and then organise the hosting of your site for you.
Working to your specifications we will then design your site, making live stage by stage changes in colour, layout, design and style to suit you (which can be done whilst you talk to us on the phone and watch the changes on your computer).
Included as part of our package, we will also set-up up to five email addresses with: YourName@YourSite.co.uk
On completion we will then submit your site to the world's main Search Engines and optimise your site to maximise Search Engine rankings.
We will also provide you with on going website support for the first year.
